條款及細則

歡迎閣下使用Palm Harvest Consultancy Limited的應用程式（下稱“應用程式”）。本條款及細則適用於適用於本應用程式之使用者。

1. 一般

• 本應用程式旨在限於應用程式的訂戶。
• 下述的條款及細則構成雙方的完整協議。
• 條款及細則取代雙方之前可能達成的所有協議、理解或聲明。
• 如果條款及細則中的任何條款因任何原因不可執行，條款及細則中其他條款的有效性則不會受其影響。
• Palm Harvest 對於超出其合理控制範圍的任何條款及細則的違反不承擔責任。
• Palm Harvest 保留不事先通知閣下而不時修改條款及細則的權利。

2. 應用程式的允許用途

• 本人確定本人僅將該應用程式於用作私人用途，並且確定用作非商業目的。

3. 應用程式的非允許用途

• 本人確定在未經Palm Harvest 或Palm Harvest的信息提供者(即Morningstar Asia Limited)的明確的同意前，不得向第三方傳播、發佈或出售應用程式上的任何內容。
• 本人確定，在該應用程式上的任何內容用於允許目的以外的其他用途之前，本人需要獲得Palm Harvest的書面同意。
• 本人確定不會將本應用程式用於任何非法目的。

4. 本應用程式不提供任何投資建議

• 本人確定Palm Harvest不會通過本應用程式提供投資建議，而且應用程式的所有內容不能被視為投資建議。
• 本人確定本應用程式沒有向使用者推薦任何金融或投資產品或任何於本應用程式中可能提及的產品。
• 本人確定，本應用程式上的任何內容都不應被視為向本人提供或招攬本人購買或銷售任何金融或投資產品或本應用程式中可能提及的產品。
• 由於本應用程式提供的資訊未必能適用於本人，本人確定在未諮詢投資或財務顧問的情況下不會作出任何投資決定。
• 本人確定本使用本應用程式的風險由自己承擔，而且因依賴本應用程式上提供的信息而產生或因依賴本應用程式而導致任何財務損失與Palm Harvest或本應用程式沒有任何關係。

5. 個人資料

• Palm Harvest在本應用程式使用閣下的個人資料均將受到Palm Harvest的私隱政策的約束。

6. 知識產權

• 本應用程式中包含的所有知識產權（即版權和商標等）為Palm Harvest擁有的或已被知識產權持有人授權Palm Harvest使用的。

7. 責任排除

• 本條款及細則不限制Palm Harvest在人身傷害或死亡、欺詐、疏忽的責任，亦不得限制適用法律或法規不允許的排除或限制上的責任。
• Palm Harvest將盡努力確保本應用程式上的信息準確和正確。Palm Harvest對於應用程式上的信息的準確性Palm Harvest不作任何擔保，並在此不作任何明示或暗示的擔保。
• 在任何情況下Palm Harvest不會對因依賴或以任何方式因本應用程式上提供的任何信息而產生或以任何方式產生的任何利潤損失、懲罰性或特殊損害賠償、銷售損失、收入的損失承擔任何責任。

8. 免責聲明

• 本應用程式上提供的所有信息均按“原樣”及“可用”基礎提供。
• 本應用程式包含的所有信息僅供一般的用途，不應依賴這些信息做出投資決策。該應用程式不被視為提供任何類型的投資建議。在做出投資決策之前，你承認應該尋求一位獨立且完全合格的財務顧問。
• Palm Harvest不保證本應用程式信息的準確性或完整性。
• 本人確定使用本應用程式的風險由閣下自己承擔。
• 本人確定並確保依賴應用程式中的資訊的準確性和完整性是本人的責任，因此 Palm Harvest 對本人因依賴應用程式提供的資訊而遭受的任何損失或損害不承擔任何責任。

9. 適用法律

• 條款及細則受中華人民共和國香港特別行政區之法律所規管並同意香港特別行政區法院的專屬管轄權。

10. 英文版本為準

• 如英文和中文版本的條款及細則之間存在任何不一致，以英文版本為準。

Terms and Conditions

These are the Terms and Conditions (the “Terms and Conditions”) of the Palm Asset (the “App”), which isthe App of Palm Harvest Consultancy Limited (“Palm Harvest”).

1. General

• This App is intended tobe used only by the subscribers of the App.
• The Terms and Conditionsas stated below form the entire understanding of the parties.
• The Terms and Conditions supersede any previous agreements, understandings and representations that the parties may have.
• If any provisions of theTerms and Conditions are found unenforceable, it shall not affect the validity of other provisions of the Terms and Conditions.
• Palm Harvest will not beliable to you for any breach of the terms and conditions that are not reasonably within the control of Palm Harvest.
• Palm Harvest reservesthe right to amend the terms and conditions from time to time without prior notice to you.

2. Permitted uses of the App

• You acknowledge that you will only use the App for your own private use and you must use the App for a non-commercial purposes only.

3. Non-permitted uses of the App

• You acknowledge that you are not allowed to disseminate or publish or sell anything that is on the App to third parties without the express consent of Palm Harvest or its information providers, namely MorningstarAsia Limited.
• You acknowledge that it is required for you to obtain the written consent of Palm Harvest before anything on the App is allowed to be used for purposes other than the permitted purposes.
• You acknowledge that you will not use the App for any unlawful purposes.

4. No Investment Advice is given through the App

• You acknowledge that Palm Harvest does not provide investment advice through the App and nothing that is stated in the App is considered as investment advice.
• You acknowledge thatPalm Harvest does not recommend any financial or investment products or any products that may be stated in the App.
• You acknowledge that nothing on the App should be regarded as Palm Harvest offering to you or soliciting you to buy or sell any financial or investment products or any products as stated in the App.
• You acknowledge that information on the App may not be suitable for you and that you should not make any investment decision without consulting an investment or financial adviser.
• You acknowledge that you use the App at your own risk and any financial losses arising from or due to reliance on the information provided on the App incurred is not related to Palm Harvest or the App.

5. Personal Information

• The use of your personal information on the App by Palm Harvest shall be governed by the Privacy Policy of Palm Harvest.

6. Intellectual Property Rights

• All intellectual property rights (i.e. copyright and trademarks etc.) contained in the App is either owned by Palm Harvest or has been licensed to be used by PalmHarvest by the intellectual property right holder.

7. Exclusions of liability

• The Terms and Conditions do not limit Palm Harvest’s liability for personal injury or death, fraud, negligence or for any other liability the exclusion or limitation of which is not permitted by applicable law to be excluded or limited.
• Palm Harvest has taken efforts to ensure that the information on the App is accurate and correct. Palm Harvest does not warrant and disclaims any warranty, expressed or implied, as to the accuracy or timeliness of the information that is on the App.
• Inno event shall Palm Harvest be liable for any loss of profits, exemplary or special damages, loss of sales, loss of revenue in reliance or arising in whatever way on any of the information provided on the App.

8. Disclaimers

• All information provided on the App is provided on an “as is” and “as available”basis.
• All information contained on the App is used for general use only and should not be relied on when making investment decisions. The App is not to be considered as providing any sort of investment advice. Prior to making investment decisions you acknowledge that you should seek an independent and fully qualified financial adviser.
• Palm Harvest does not guarantee the accuracy or completeness of the information on the App.
• You acknowledge that you use the App at your own risk.
• You acknowledge that it is your responsibility to ensure the accuracy and completeness of the information in the App you rely on to make investment decisions and Palm Harvest cannot accept any liability for any loss or damages suffered by you through relying on the information supplied on the App.

9. Governing Law and Jurisdiction

• The Agreement will be governed by the law of Hong Kong SAR, and you agree to submitto the exclusive jurisdiction of Hong Kong courts.

10. English Version Prevails

• If there are any discrepancies between the English and Chineseversions, the English version prevails.
